Codec Networks follows an independent, risk-based and evidence-driven methodology for conducting cyber audits under the SEBI Cybersecurity and Cyber Resilience Framework (CSCRF). The methodology is aligned with CERT-In’s Comprehensive Cyber Security Audit Policy Guidelines and is tailored to the Regulated Entity’s CSCRF category, business model, critical systems, technology environment, outsourced arrangements and applicable reporting requirements.
Our Eight-Stage Audit Methodology
- Engagement Acceptance and Independence
Codec Networks verifies auditor eligibility, competence, independence, rotation, conflicts of interest and previous consulting relationships. The engagement letter, NDA, audit period, responsibilities, escalation process and Rules of Engagement are agreed before commencement.
- Applicability and Scope Determination
The entity’s SEBI registrations, CSCRF category, applicable standards, reporting authority, locations, business services, critical systems, applications, infrastructure, cloud and third-party dependencies are identified. Multi-regulator, shared-system and scope-exclusion considerations are documented.
- Risk Profiling and Audit Planning
The audit universe is prioritised using system criticality, data sensitivity, internet exposure, transaction impact, threat intelligence, previous incidents, technology changes, vulnerabilities and vendor concentration. Audit procedures, resources, timelines, samples and evidence requirements are then established.
- Regulatory and Control Mapping
Applicable CSCRF standards and guidelines are mapped to the entity’s policies, processes and controls. Mandatory requirements are assessed as prescribed; non-mandatory guidelines are evaluated against equivalent or stronger controls.
- Control Design and Operating-Effectiveness Testing
Codec Networks evaluates whether controls are appropriately designed and operated during the audit period using inquiry, document review, walkthroughs, observation, configuration inspection, log analysis, sampling and reperformance. The audit covers 100% of critical systems and a risk-based sample of at least 25% of non-critical systems.
- Authorised Technical and Third-Party Validation
Where included in the approved scope, the audit may assess applications, APIs, networks, cloud, access controls, logging, SOC, incident response, vulnerability management, BCP/DR and outsourced services. Intrusive testing or VAPT is performed only under separate written authorisation and controlled Rules of Engagement.
- Risk Evaluation, Quality Review and Reporting
Findings are factually validated and assessed for condition, criteria, root cause, likelihood, business impact and regulatory significance. Observations are rated Critical, High, Medium or Low and independently quality-reviewed before issuance of the CSCRF Annexure-B-aligned report.
- Remediation and Follow-up Verification
Management actions, responsible owners and target dates are recorded. Codec Networks may perform follow-up verification to assess implementation, residual risk and repeat findings. CSCRF ordinarily requires closure within three months of report submission and completion of follow-on audit within five months of cyber-audit completion.

Please Note
The audit is a point-in-time, scope-limited and sample-based assessment conducted using information, access and evidence provided during the engagement. It provides reasonable, not absolute, assurance and does not guarantee identification of every vulnerability, control failure, fraud or future cyber incident. The Regulated Entity remains responsible for control implementation, remediation, declarations, residual-risk acceptance and continuous compliance.
Codec Networks adopts a structured, risk-based and evidence-driven audit methodology to independently assess the Regulated Entity’s compliance, implementation effectiveness and cyber-resilience maturity against the applicable SEBI Cybersecurity and Cyber Resilience Framework (CSCRF), including applicable SEBI clarifications, technical clarifications.
1. Regulatory & Scope Alignment
Codec Networks first establishes the applicable regulatory baseline based on the RE’s SEBI registration/category, size, criticality, technology environment, business operations and applicable CSCRF requirements. The audit scope is mapped to the applicable SEBI circulars, CSCRF provisions, clarifications and prescribed audit/reporting requirements.
2. CSCRF Control & Requirement Mapping
Each applicable CSCRF requirement is converted into an audit control objective and test procedure. The assessment covers governance, cybersecurity policies, asset management, risk management, identity and access management, infrastructure security, application security, data protection, vulnerability management, incident management, SOC/SIEM, cyber resilience, business continuity, disaster recovery, third-party risk, cloud security and other applicable controls.
3. Risk-Based Audit Testing
Audit effort is prioritised according to business criticality, information sensitivity, threat exposure, regulatory significance and cyber-risk. Critical systems, applications, APIs, networks, cloud environments, privileged access, security monitoring and third-party dependencies receive enhanced audit attention.
4. Evidence-Based Validation
Codec Networks validates compliance through document review, management discussions, process walkthroughs, configuration/technical evidence, system-generated records, logs, reports, tickets, screenshots, sample testing and other appropriate audit evidence. Mere existence of a policy or procedure is not treated as sufficient evidence of effective implementation.
5. Effectiveness & Resilience Assessment
The audit evaluates whether controls are implemented, operating effectively and capable of supporting cyber resilience. Assessment is aligned to the CSCRF resilience objectives:
Anticipate → Withstand → Contain → Recover → Evolve
Particular emphasis is placed on the RE’s ability to detect, respond to, contain and recover from cyber incidents while maintaining critical business and market-related operations.
6. Gap, Risk & Compliance Assessment
Identified observations are evaluated against regulatory requirement, control effectiveness, business impact, cyber risk and evidence availability. Findings are categorised according to their significance and accompanied by practical remediation recommendations, responsible ownership and suggested priority.
7. Management Validation & Closure
Draft observations are discussed with the relevant stakeholders for factual validation. Management responses, supporting evidence and remediation commitments are incorporated into the final assessment while maintaining auditor independence and professional judgement.
8. Final Audit Reporting
Codec Networks provides a CSCRF-aligned Cybersecurity Audit Report presenting the scope, methodology, applicable requirements, compliance status, observations, risk implications, supporting evidence, management responses and remediation status, in accordance with the applicable SEBI requirements and reporting timelines.
Please Note
A regulator-aligned, independently assessed view of the RE’s CSCRF compliance posture, control effectiveness, material cyber risks and cyber-resilience readiness, enabling management to address gaps before regulatory reporting and strengthen the overall security posture.
Codec Networks conducts audits primarily against the SEBI CSCRF, applicable SEBI clarifications and CERT-In audit guidelines. FREQUENTLY ASKED QUESTION
Asking the right questions is the first step toward security; our FAQs
A SEBI CSCRF Cyber Audit is an independent, evidence-based assessment of a regulated entity’s implementation of the applicable standards and mandatory guidelines prescribed under the Cybersecurity and Cyber Resilience Framework. The audit is conducted in the prescribed format and covers governance, protection, detection, response, recovery and cyber-resilience measures.
The requirement applies to SEBI Regulated Entities according to their classification under the CSCRF, including MIIs, Qualified REs, Mid-size REs, Small-size REs and other applicable intermediaries. The exact requirements depend on the entity’s category, operational activities, critical systems and applicable exemptions. Self-certification REs are generally required to undergo VAPT through a CERT-In empanelled auditor but not a separate CSCRF Cyber Audit.
Unless otherwise specified in the CSCRF, applicable Cyber Audits and VAPT activities must be conducted by a CERT-In empaneled Information Security Auditing Organisation. Codec Networks provides such services subject to the validity of its empanelment, auditor independence, eligibility and agreed engagement scope.
MIIs, Qualified REs and Mid-size or Small-size REs providing internet-based trading or algorithmic-trading facilities are generally required to conduct the Cyber Audit at least twice in a financial year. Other applicable REs must generally conduct it at least annually. VAPT has separate periodicity requirements depending on the entity and system classification.
A CERT-In empaneled auditing organisation may audit an RE for a maximum of three consecutive years. It becomes eligible to audit that RE again after a cooling-off period of two years, subject to the prevailing CSCRF requirements and independence criteria.
The Cyber Audit is expected to cover 100% of the auditee’s identified critical systems and a minimum sample of 25% of non-critical systems. The non-critical sample, selection method and rationale are documented in the audit report. Final coverage is confirmed after reviewing the asset inventory, system criticality and applicable CSCRF requirements.
Yes. Codec Networks prioritises audit procedures based on system criticality, data sensitivity, external exposure, threat landscape, previous incidents, regulatory significance, third-party dependencies, major changes and earlier audit observations. Control design and operating effectiveness are assessed through documentation review, interviews, sampling, configuration validation and technical verification, as applicable.
Evidence may include policies, asset inventories, risk registers, network diagrams, configurations, logs, access reviews, incident records, vulnerability reports, change tickets, backup and recovery records, SOC reports, vendor agreements and governance approvals. Evidence requirements are limited to the agreed scope and handled under an NDA and applicable security requirements.
VAPT and the CSCRF Cyber Audit are related but separately defined activities with distinct scope, reporting and timelines. Where included in the engagement, Codec Networks may conduct authorised VAPT as per agreed scope. No intrusive testing is undertaken without written authorisation and agreed Rules of Engagement.
No. ISO/IEC 27001 certification and the CSCRF Cyber Audit are separate requirements. MIIs and Qualified REs are required to obtain the latest applicable ISO/IEC 27001 certification under as per applicable SEBI requirements but this does not replace the applicable Cyber Audit, VAPT or CSCRF reporting obligations.
Depending on the agreed scope, deliverables may include the prescribed Cyber Audit Report, executive summary, control-wise observations, risk ratings, evidence references, exception reporting, previous-observation status and remediation tracker. A follow-on audit report may be issued where separately required or agreed.
The respective IT Committee for the RE is responsible for reviewing and approving the report. The regulated entity is responsible for submitting the approved report to the applicable reporting authority, together with the prescribed MD/CEO declaration. Codec Networks provides the independent audit report but does not assume the auditee’s governance, filing or compliance responsibilities.
The final Cyber Audit Report is generally required to be submitted within one month of completion of the audit after approval by the IT Committee for the RE. Findings are expected to be closed within three months of report submission using a graded approach based on criticality. Where applicable, the follow-on audit should be completed within five months of completion of the Cyber Audit.
Where a follow-on or closure-validation activity is included in the engagement, Codec Networks reviews the remediation evidence and records observations as closed, partially closed or open. Validation confirms the status based on evidence available at that time; it does not transfer responsibility for remediation or residual-risk acceptance from the auditee.
No. The audit provides an independent professional assessment within the agreed scope, review period, sampling methodology and evidence made available. It does not guarantee regulatory acceptance and certification, The auditee remains responsible for implementing controls, correcting findings, maintaining continuous compliance and accepting residual risk.
